1. Seller & Contract

The service is provided by Phawadon Nasareerut ("we", "us", "our"). When you use The Soul Atelier, you are entering into a legal agreement with Phawadon Nasareerut. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.

2. Acceptance of Terms

By accessing or using The Soul Atelier, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service. Continued use constitutes acceptance of any updated terms.

3. Product Description

The Soul Atelier is a digital art experience platform offering membership subscriptions that provide access to curated art content, guided experiences, and community features. Specific features and content available depend on your chosen membership tier.

4. Account & Credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it updated. Notify us immediately of any unauthorized use.

5. Acceptable Use

You must not misuse the service. This includes but is not limited to: unlawful use, fraud or spam, intellectual property infringement, interfering with security (malware, probing, scraping), reverse engineering, circumventing technical limits, or redistributing content without authorization.

6. Intellectual Property

Phawadon Nasareerut retains ownership of all intellectual property in the service — software, documentation, branding, design, and curated content. We grant you a limited, non-exclusive, non-transferable right to use the service within your selected plan. You retain ownership of any content you create or upload; you grant us a limited license to host and process it solely to provide the service.

6a. AI-Generated Content & Output Ownership

Certain features of The Soul Atelier (such as the Inner Room) use generative AI to produce images, text, or other media ("AI Output") based on your prompts or selections. Subject to your compliance with these Terms and applicable law, you own the AI Output generated from your inputs for your personal, non-commercial use. We claim no ownership over AI Output you generate for personal use.

You acknowledge that: (a) AI Output is generated by third-party AI models and may not be unique — similar or identical output may be produced for other users; (b) AI Output is not eligible for copyright protection in many jurisdictions; (c) you are responsible for your prompts, for how you use AI Output, for verifying its accuracy, and for ensuring you have the rights to any input content you provide; (d) AI Output may be inaccurate, biased, or unsuitable for any particular purpose, and must not be relied upon as professional advice (medical, legal, financial, or otherwise).

You must not use AI Output to: create illegal or harmful content, infringe third-party intellectual property rights, generate deepfakes or impersonations, produce hateful or defamatory material, or train competing AI systems. We reserve the right to remove, filter, or refuse AI Output and to suspend accounts that misuse these features. Commercial redistribution or resale of AI Output requires our prior written consent.

We grant you a worldwide, royalty-free license to use AI Output you generate for your personal use. We retain the right to use anonymized prompts and outputs to improve the service. If a rights-holder believes AI Output infringes their rights, they may contact us at support and we will review and remove infringing content where appropriate.

7. Payments, Billing & Subscriptions

Payments are processed by Stripe. Stripe handles payment processing, tax calculation and collection, invoicing, fraud protection, and dispute resolution in supported jurisdictions on our behalf.

Subscriptions renew automatically at the frequency selected at checkout unless cancelled. You may cancel at any time through the billing portal in your account settings, or by contacting our support team. Cancellations take effect at the end of your current billing period; you keep access until then.

8. Service Level

We do not guarantee uninterrupted or error-free performance. The service is provided on an "as is" and "as available" basis. We disclaim all implied warranties to the fullest extent permitted by law, including merchantability and fitness for purpose.

9. Limitation of Liability

To the fullest extent permitted by law, Phawadon Nasareerut's aggregate liability is capped at the fees you paid in the prior 12 months. We exclude liability for indirect, consequential, or special damages (loss of profits, data, or goodwill), except where prohibited by law (fraud, death, or personal injury).

10. Indemnity

You agree to indemnify Phawadon Nasareerut against claims arising from your content, unlawful use of the service, or violation of these terms.

11. Suspension & Termination

We may suspend or terminate your access for: material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the service ceases immediately. We may retain data as required by law or for legitimate business purposes.

12. Governing Law

These terms are governed by the laws of the State of New York, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York County.

13. Changes to Terms

We may update these terms from time to time. Material changes will be notified via email or through the service. Your continued use after changes constitutes acceptance.
